These Terms of Service and End User License Agreement (the "Terms") are a binding agreement between you ("you" or "your") and Vision Systems, LLC ("Vision Systems," "we," "us," or "our") and govern your access to and use of our operating dashboard and related services (the "Service").
By accessing or using the Service, or by connecting a third-party account such as QuickBooks, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
Vision Systems provides a custom operating dashboard that connects to systems you use—such as QuickBooks—and presents your business data, metrics, projections, and written insights in one place. The specific features and data shown are configured for each customer and may change over time.
To use the Service you may need an account. You agree to provide accurate information, keep your credentials secure, and remain responsible for all activity under your account. Notify us promptly at contact@visionsystems.io if you suspect unauthorized use.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. We reserve all rights not expressly granted.

The Service connects to third-party services, including QuickBooks (provided by Intuit). Your use of those services is governed by their own terms and privacy policies, and you are responsible for maintaining your accounts with them and for the rights to connect and share data from them. We are not responsible for third-party services, and their availability or changes may affect the Service. You authorize us to access and process data from connected accounts as described in our Privacy Policy.
Where the Service is provided on a paid basis, applicable fees, billing terms, and payment arrangements will be set out separately in an order, proposal, or agreement with you or your provider. Unless stated otherwise, fees are non-refundable except as required by law.
The Service, including its software, design, and content (excluding your data), is owned by Vision Systems and protected by intellectual-property laws. Your business data remains yours. You grant us a limited license to host, process, and display your data solely to provide the Service.
Our collection and use of information is described in our Privacy Policy, which is incorporated into these Terms by reference.
The Service is for informational purposes only and is not financial, accounting, tax, investment, or legal advice. Insights, projections, and metrics are estimates generated from your data and may be incomplete or inaccurate. You are responsible for your business decisions and should consult a qualified professional before acting.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data shown will be complete or accurate.
To the maximum extent permitted by law, Vision Systems and its owners and personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the three months before the claim or one hundred U.S. dollars ($100).
You agree to indemnify and hold harmless Vision Systems from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your data, or your violation of these Terms or applicable law.
These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. On termination, the license granted to you ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
We may modify the Service or these Terms from time to time. When we change these Terms, we will update the "Last updated" date above. Material changes will be communicated where appropriate. Your continued use of the Service after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in North Carolina for any dispute that is not subject to other agreed dispute-resolution terms.
